The Site is an informational website operated by Oroai Ventures LLC, a seed-stage venture capital firm focused on consumer internet and social technology. The Site provides information about Oroai Ventures' investment focus, team, portfolio companies, published insights and commentary, and means of contacting the firm. The Site is intended for informational and educational purposes only and does not constitute investment advice, financial advice, legal advice, or any other professional advice.
Nothing on the Site constitutes an offer or solicitation to buy or sell any security or investment product, or an offer to provide investment advisory services. Information provided on the Site regarding Oroai Ventures' portfolio companies, investment philosophy, or past performance is provided for informational purposes only and should not be relied upon as investment advice or as a guarantee of future results.
The Site and all content, features, and functionality contained on the Site, including but not limited to text, articles, graphics, logos, images, data compilations, software, and the selection and arrangement thereof (collectively, "Oroai Content"), are owned by Oroai Ventures or its licensors and are protected by United States and international copyright, trademark, trade secret, patent, and other intellectual property laws.
The Oroai Ventures name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Oroai Ventures LLC. You may not use such marks without the prior written permission of Oroai Ventures. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
Subject to these Terms, Oroai Ventures grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal, non-commercial purposes only. This license does not include the right to: (a) modify or copy any portion of the Site or its content; (b) use any data mining, robots, scraping, or similar data gathering or extraction methods; (c) download or copy any account information for the benefit of another party; (d) use the Site or its content for any commercial purpose; (e) attempt to decompile, reverse engineer, disassemble, or hack any portion of the Site; or (f) remove any copyright, trademark, or other proprietary rights notices from the Site or its content.
Oroai Ventures reserves all rights not expressly granted in these Terms. Any unauthorized use of the Site or its content terminates the limited license granted above and may violate applicable laws, including copyright laws, trademark laws, and applicable communications regulations and statutes.
The Site provides a contact form through which you may submit inquiries, pitch materials, or other information to Oroai Ventures (collectively, "Submissions"). By making a Submission, you acknowledge that: (a) your Submission is voluntary and not confidential unless we have executed a separate non-disclosure agreement with you; (b) you have the right to submit the information and that the Submission does not violate any applicable law or the rights of any third party; and (c) Oroai Ventures may retain your Submission for business purposes in accordance with our Privacy Policy.
Oroai Ventures is under no obligation to review, respond to, or take any action with respect to any Submission. The receipt of a Submission by Oroai Ventures does not create any investment commitment, partnership, or other business relationship between you and Oroai Ventures. Oroai Ventures will evaluate Submissions in its sole discretion.
While we treat pitch materials and business information submitted to us with discretion and professionalism, submission of pitch materials through the Site does not establish a confidential relationship unless we have executed a separate written non-disclosure or confidentiality agreement. Founders who wish to ensure confidential treatment of their materials are encouraged to discuss a mutual NDA with us prior to sharing sensitive information.
To the extent that any Submission contains content in which you hold intellectual property rights, you hereby grant Oroai Ventures a non-exclusive, royalty-free, worldwide license to use, reproduce, and retain such content for internal business evaluation and record-keeping purposes only. This license does not include any right to publicly display, distribute, or create derivative works from your Submission without your separate consent.

Nothing on the Site should be construed as investment advice, financial advice, trading advice, or any other type of professional advice. Oroai Ventures is a private venture capital firm, and this Site does not constitute an offer or solicitation with respect to the purchase or sale of any securities or investment products.
Past investment performance described on the Site, whether relating to Oroai Ventures or its portfolio companies, is not indicative of future results. OROAI VENTURES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
OROAI VENTURES DOES NOT WARRANT THAT: (A) THE SITE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SITE WILL MEET YOUR REQUIREMENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OROAI VENTURES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR ANY CONTENT PROVIDED THEREON, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT OROAI VENTURES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OROAI VENTURES' AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless Oroai Ventures, its affiliates, licensors, service providers, employees, agents, officers, directors, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of the Site, your Submissions, or your violation of any law or the rights of any third party.
The Site may contain links to third-party websites or services that are not owned or controlled by Oroai Ventures. Oroai Ventures has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. We do not endorse or make any representations about third-party sites. We encourage you to review the terms of service and privacy policies of any third-party sites you visit.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or your use of the Site shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of such courts.
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting Oroai Ventures in writing. We will attempt to resolve the dispute within thirty (30) days of receiving your written notice.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be eliminated, while all other provisions of these Terms shall continue in full force and effect. No waiver by Oroai Ventures of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition, and Oroai Ventures' failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Oroai Ventures regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
